Preloved Marketplace Terms

These Parure Preloved Marketplace Terms ("Marketplace Terms") govern your access to and use of Parure Preloved, a marketplace feature offered through Parure La Plee by S9 Enterprises LLC, a Florida limited liability company ("Parure," "Company," "we," "us," or "our").

These Marketplace Terms supplement the Parure La Plee Terms of Service ("Terms"). Capitalized terms not defined here have the meanings given in the Terms. If these Marketplace Terms conflict with the Terms regarding Parure Preloved, these Marketplace Terms control.

By listing, purchasing, or selling an item through Parure Preloved, you agree to these Marketplace Terms.

Eligibility

You must be at least 18 years old and maintain an eligible Parure La Plee account to use Parure Preloved.

We may require sellers to complete identity, payment, tax, or other verification required by Parure, Stripe, or applicable law before listing items or receiving payouts.

We may restrict, suspend, or terminate marketplace access where reasonably necessary to protect users, Parure, intellectual property owners, payment systems, or the integrity of the marketplace.

Parure's Role

Parure Preloved provides a platform through which eligible users may list, purchase, and sell pre-owned items.

Unless expressly stated otherwise, Parure is not the seller, purchaser, manufacturer, owner, consignor, or importer of user-listed items and does not take title to those items.

The purchase and sale of a user-listed item is a transaction between the applicable buyer and seller.

Parure does not independently authenticate every item listed on the marketplace and does not guarantee the identity of a user or the authenticity, quality, condition, safety, legality, availability, or accuracy of a listing.

Seller Requirements

By submitting a listing, the seller represents and warrants that:

• (a) the seller lawfully owns the item and has the unrestricted right to sell it;
• (b) the item is genuine and is not counterfeit, stolen, fraudulent, unlawfully obtained, or an unauthorized reproduction;
• (c) the listing, photographs, description, brand information, condition, sizing, price, and other material information are accurate and not misleading;
• (d) the seller has disclosed material defects, damage, alterations, or other conditions that a reasonable buyer would consider relevant;
• (e) the sale and shipment of the item will comply with applicable law and third-party rights; and
• (f) any content submitted with the listing complies with the Terms.

Sellers must promptly and securely ship sold items in accordance with instructions provided through the marketplace.

Prohibited Items

You may not list or sell:

• Counterfeit, replica, fake, or unauthorized goods;
• Stolen or unlawfully obtained property;
• Items that infringe intellectual property or other third-party rights;
• Items prohibited by applicable law;
• Items subject to an applicable recall where resale is prohibited or unsafe;
• Items that Parure determines present a safety, fraud, legal, or reputational risk; or
• Any other category of item identified as prohibited through the Service.

Parure may remove or restrict a listing at any time if we reasonably suspect that it violates these Marketplace Terms, the Terms, applicable law, or third-party rights.

Authenticity

Before submitting a listing, sellers may be required to affirm:

"I confirm that this item is genuine and authentic and is not a counterfeit, replica, or unauthorized reproduction. I am the lawful owner of the item and have the legal right to sell it."

The seller is responsible for the accuracy of this representation.

Parure may request receipts, photographs, authenticity documentation, serial information, proof of purchase, or other information regarding an item at any time.

Listings above $500 may be flagged for additional review before or after publication. Parure may apply additional review thresholds or procedures where reasonably necessary to protect the marketplace.

Review by Parure does not constitute authentication, certification, endorsement, or a guarantee that an item is authentic.

Counterfeit and Infringing Items

Parure prohibits counterfeit goods.

If we reasonably suspect that an item is counterfeit, infringing, stolen, fraudulent, or otherwise prohibited, we may:

• Remove or disable the listing;
• Cancel or restrict the transaction;
• Hold or restrict marketplace activity to the extent permitted by law and applicable payment-provider rules;
• Request additional documentation;
• Suspend or terminate the seller's marketplace or Parure account;
• Preserve information relating to the listing or transaction where reasonably necessary;
• Cooperate with intellectual property owners, payment providers, governmental authorities, or law enforcement as permitted or required by law; and
• Take other action reasonably necessary to protect users or the marketplace.

Repeated or material violations may result in permanent removal from Parure Preloved or other portions of the Service.

Pricing and Platform Fee

Sellers are responsible for setting the listing price for their items, subject to any marketplace rules displayed through the Service.

Unless otherwise disclosed before a listing or transaction is completed, Parure retains a 8% platform fee from the applicable completed sale.

Any additional payment-processing, shipping, tax, or other charges applicable to a transaction will be disclosed where required before the transaction is completed.

We may change marketplace fees prospectively upon notice. Changes will not retroactively alter the fee applicable to a transaction already completed.

Payments and Seller Payouts

Marketplace payments and seller payouts are processed through Stripe and/or its applicable services.

Sellers may be required to create or maintain a Stripe Connect account and complete identity, banking, tax, or other verification required by Stripe or applicable law.

Parure does not control Stripe's independent verification processes or banking networks and is not responsible for delays caused by incomplete verification, inaccurate payment information, financial institutions, or other circumstances outside Parure's reasonable control.

Payouts may be withheld, delayed, reversed, or adjusted where reasonably necessary to address refunds, disputes, chargebacks, suspected fraud, prohibited transactions, legal requirements, or amounts otherwise owed in connection with a marketplace transaction.

Shipping

Unless otherwise stated through the Service, sellers are responsible for timely and secure shipment of sold items.

Sellers must comply with any shipping, tracking, packaging, or delivery instructions provided through Parure Preloved.

A seller may be responsible for loss resulting from failure to timely ship an item, use required tracking, accurately address a shipment, or otherwise comply with applicable marketplace shipping requirements.

Returns, Refunds, and Transaction Disputes

Except where required by applicable law or otherwise stated through the Service, marketplace sales are final after completion of the applicable transaction.

A buyer may report an item that materially differs from its listing, including an item that is materially misdescribed, materially damaged in an undisclosed manner, or reasonably believed to be counterfeit.

Parure may request photographs, communications, shipping information, authenticity documentation, or other evidence from the buyer or seller in connection with a dispute.

Parure may facilitate resolution of marketplace disputes and may issue or facilitate refunds, returns, payout reversals, or other adjustments where permitted by applicable payment-provider rules and reasonably necessary to administer the marketplace.

Nothing in this Section limits rights or remedies that cannot lawfully be waived.

Taxes

Users are responsible for taxes for which they are legally responsible in connection with marketplace activity.

Parure or its payment providers may collect, remit, report, or withhold taxes where required by applicable law.

Sellers agree to provide accurate tax information where required for payment or reporting purposes.

User Content and Listing Rights

Listings, photographs, descriptions, and other materials submitted to Parure Preloved constitute Your Content under the Terms.

You grant Parure the rights reasonably necessary to host, reproduce, display, distribute, format, and otherwise process listing content to operate, promote within, secure, and administer Parure Preloved and the applicable listing.

You represent and warrant that your listing content does not infringe another person's intellectual property, privacy, publicity, or other rights.

Marketplace Enforcement

Parure may investigate marketplace activity and may remove listings, cancel transactions, restrict marketplace functionality, or suspend or terminate marketplace access where we reasonably determine that activity:

• Violates these Marketplace Terms or the Terms;
• Involves fraud or suspected fraud;
• Involves counterfeit or prohibited goods;
• Creates unreasonable risk to another user or Parure;
• Violates applicable law or third-party rights; or
• Threatens the integrity or security of the marketplace.

Nothing in these Marketplace Terms requires Parure to monitor every listing or transaction.

Seller Indemnification

To the fullest extent permitted by applicable law, a seller agrees to defend, indemnify, and hold harmless S9 Enterprises LLC d/b/a Parure La Plee and its affiliates, officers, directors, employees, agents, successors, and assigns from third-party claims, demands, actions, liabilities, damages, judgments, losses, penalties, costs, and reasonable attorneys' fees arising out of or relating to:

• (a) an item listed or sold by the seller;
• (b) an allegation that an item is counterfeit, stolen, infringing, unsafe, unlawfully sold, or materially misrepresented;
• (c) the seller's listing content;
• (d) the seller's breach of these Marketplace Terms;
• (e) the seller's violation of applicable law; or
• (f) the seller's violation of another person's intellectual property, privacy, publicity, or other rights.

Disclaimers and Limitation of Liability

The disclaimers and limitations of liability contained in the Terms apply to Parure Preloved.

Without limiting the Terms, Parure does not warrant or guarantee the authenticity, quality, condition, safety, legality, availability, description, or fitness of user-listed items.

Nothing in these Marketplace Terms excludes or limits liability or consumer rights that cannot lawfully be excluded or limited.

Termination

You may stop using Parure Preloved at any time, subject to completing outstanding transactions and obligations.

Termination or suspension of marketplace access does not eliminate obligations relating to transactions entered into before termination, including payment, shipment, refunds, chargebacks, disputes, indemnification, or other accrued obligations.

Provisions that by their nature should survive termination will survive.

Changes to These Marketplace Terms

We may modify these Marketplace Terms prospectively.

If we make material changes, we will provide notice as required by applicable law. Where applicable law requires affirmative consent, we will obtain that consent.

Changes will not retroactively alter completed marketplace transactions except where required by law or agreed by the affected parties.

General Terms

The governing law, venue, severability, assignment, waiver, electronic communications, and other general provisions of the Parure La Plee Terms of Service are incorporated into these Marketplace Terms.

If these Marketplace Terms conflict with the Terms regarding Parure Preloved, these Marketplace Terms control.
